Constitution

1. Name

The name of the Club as agreed at the initial meeting on 22nd April 2004 shall be Clayport Film Club

2. Object

The object of the club is to work as a non-theatrical film society and show high quality, thought provoking British and World cinema and encourage interest in films and film making in the community.

3. Membership

a) Membership of the club shall be open to any person, age 16 and over, completing a membership form and paying the relevant subscription/joining fee as determined at the inaugural meeting (hereafter at the annual general meeting) of the club members.

b) The membership fee shall be valid for twelve months from January to December.

c) There will be a charge per film for members at the discretion of the committee. Members may bring guests at the discretion of the committee.

4. Management

a) The Society shall be run by a Committee of at least 5 members and no more than 10. The Committee shall be elected at the Annual General Meeting and hold office until their successors are elected at the next AGM.

b) The Society shall hold a General Meeting at least once a year. A Special General Meeting may be called at any time by the Committee or upon written request being made of the Committee signed by at least 5 members.

c) The quorum for General Meetings shall be 10 Members and for Committee Meetings 3.

d) The Society shall be non-political, i.e. It shall not espouse the cause of any political party.

5. Election of officers

a)All officers shall be elected at the Annual General Meeting of the club, from and by the members of the club.

b) All officers are elected to the committee for a period of one year, but may be re-elected to the same office or another office in the following year up to a maximum of three consecutive years.

6. The duties of the elected officers shall be:

a) To control the affairs of the club on behalf of the members.

b) To keep accurate accounts of the finances of the club through the Treasurer. These should be available for reasonable inspection by members and should be audited before each Annual General Meeting.

c) The club shall maintain a bank account and the following officers shall be authorised to sign club cheques: any two from the Membership Secretary, the Secretary and the Treasurer.

8. Non-profit making

The club shall not be run for the private profit of member/s. Any balance at the end of the year shall be carried over and devoted to the objects of the club. No member or committee member shall receive payment directly or indirectly for their services or for anything other than legitimate expenses incurred in the work of the club.

7. Meetings

a) The meetings of the club, primarily for the purpose of film screening, shall be held fortnightly on Thursday evenings, or as the committee and membership direct.

b) The Annual General Meeting shall be held in January each year.

9. Alteration of Rules

No alteration of rules shall be made except by a resolution of two-thirds of those present at a General Meeting

10. Dissolution

If the officers and membership of Clayport Film Club decide the club should be dissolved, the remaining assets, after discharging all debts and liabilities of the club shall not be paid or distributed amongst the Full Members of the club, but shall be given or transferred to a charity or to other voluntary organisation having objects similar to those of the club.
